General Terms and Conditions for BelegOne

1. Provider and subject matter of the contract

BelegOne is web-based software for creating and managing business documents. The specific scope of functions depends on the selected plan.

2. Tariffs and scope of services

• CHF 49.00 per month including Swiss VAT or CHF 490.00 per year including Swiss VAT
• all functions of BelegOne Business
• Import and processing external PDF documents
• Up to 1000 external PDF imports per client and calendar year
• Dunning with payment reminder, 2nd reminder and 3rd reminder

The prices, functions and billing intervals displayed in the ordering process immediately before the contract is concluded are decisive.

3. Registration and conclusion of contract

1. The customer enters the required registration data.
2. The customer confirms his email address.
3. The customer chooses the tariff and billing interval.
4. The customer accepts the general terms and conditions applicable at the time of registration and takes note of the data protection declaration.
5. The contract becomes effective after successful payment and activation of the client.

Registration alone does not constitute a right to activation. Neumann IT Solutions may reject registrations if there are objective security, abuse, sanction or legal reasons.

Regular customers are not offered a free trial on their own client.

4. Customer account and access

The customer must provide complete and correct information and keep it up to date. Access data must be kept secret and may only be made accessible to authorized persons.

The customer is responsible for all actions performed through their user accounts to the extent that the customer caused or enabled those actions. Suspicious access and the loss of access credentials must be reported to Neumann IT Solutions immediately.

User accounts may not be used jointly by multiple people unless BelegOne provides an express multi-user function for the tariff or tenant in question.

5. Permitted use

BelegOne may only be used within the scope of applicable law and for legitimate business purposes. In particular, the following are prohibited:

• collecting or sending unlawful, misleading or abusive content
• Unauthorised access to third-party tenants, accounts or systems
• circumventing technical protection, tariff or access restrictions
• automated load testing, security testing or mass access without prior written consent
• use for spam, malware, deception or other abusive purposes

6. Responsibility for content and evidence

The customer is responsible for the data, customer and supplier information, text, line items, tax rates, bank details, documents, signatures and files entered or imported by the customer and its users.

BelegOne supports the technical creation, recording and management of receipts. The application does not replace legal, tax or accounting advice. In particular, the customer must check whether his documents and the data taken from them comply with the commercial, tax, accounting and industry-specific regulations that apply to him.

For externally imported PDF documents, data can be automatically recognized using PDF text extraction and OCR and suggested for further processing. Automatically recognized information may be incomplete or incorrect and must be checked by the customer before further use.

If no VAT is shown in an external document, BelegOne does not assume a VAT rate. The technical and tax allocation remains the responsibility of the customer.

The customer guarantees that he is authorized to process the entered and uploaded data and files and to provide the necessary information to those affected.

7. Prices, billing and payment

All BelegOne prices shown to Swiss customers are final prices in Swiss francs including Swiss VAT. The standard rate as of these terms and conditions is 8.10 percent.

Depending on your selection, billing takes place monthly or annually in advance. Payments are processed via the payment provider Stripe offered during the ordering process.

The customer is responsible for ensuring that the chosen payment method is valid and can be charged. Payment providers may apply their own terms of use and privacy policy.

In the event of chargebacks, failed payments or late payments, the client may be placed in a restricted or read-only state upon reasonable notice.

8. Contract term, renewal and termination

The subscription runs for the selected monthly or annual billing interval. It is extended by a further equal interval unless it is canceled before the end of the current period.

The subscription may be terminated using a function provided in BelegOne or by email to support@cn1.ch. Termination takes effect at the end of the billing period already paid for.

Fees already paid are generally not refunded pro rata. Mandatory statutory claims and verifiable duplicate charges remain unaffected.

The right of both parties to immediate termination for good cause remains reserved.

9. Status and access restrictions

BelegOne may apply different access rights depending on the contract and payment status:

• pending_verification: no productive use before email confirmation
• pending_payment: limited access until payment is received
• active: Use according to the booked tariff
• overdue: Reading and exporting can remain possible, writing functions can be blocked
• cancelled: after the end of the contract, read-only or export access during a reasonable transition period
• blocked: Access blocking in the event of serious misuse, security risks or compelling legal reasons

10. Availability, maintenance and changes

Neumann IT Solutions operates BelegOne with appropriate professional care. There is no guarantee that availability will be uninterrupted or completely error-free at all times.

Maintenance, security updates, technical disruptions, network or third-party outages, and events beyond Neumann IT Solutions's control may result in restrictions.

Functions may be further developed, replaced or adapted if the main contractual purpose of the booked tariff is retained. Significant adverse changes will be communicated in a timely manner.

11. Data backup and client export

Neumann IT Solutions creates regular central backups of the BelegOne system. These backups are used to operate and restore the entire system. A claim to the restoration of individual data states or individual customer data sets only exists if this has been expressly agreed.

All BelegOne tariffs include a full client export. This includes in particular customers, documents, positions, company settings, PDF files, uploaded files and export metadata.

The client export is the additional customer-side backup option. The customer should download exports regularly and store them securely outside of BelegOne.

12. Emailing

To the extent that BelegOne offers to send documents by email, they are sent at the request of the customer. The customer is responsible for the recipient address, content, admissibility and accuracy of the message sent.

Neumann IT Solutions cannot guarantee delivery, spam classification, acceptance by the recipient or long-term availability of third-party mail servers.

13. Demo tenant

A separately provided Business Pro demo tenant is used exclusively for non-binding testing. It is not a production customer tenant.

• Documents, PDFs, CSV files and other outputs are marked as demo.
• Demo outputs may not be used productively.
• Email sending is blocked in the demo tenant.
• Demo data can be reset or deleted at any time.
• Demo data will not be transferred to a paying customer tenant.

14. Processing customer data on behalf of the customer

If the customer uses BelegOne to process personal data of its own customers, employees, suppliers, contact persons or other affected persons, the customer is responsible for data protection. Neumann IT Solutions processes this data as a processor according to the customer's documented instructions.

Subject and duration

The subject matter is the technical operation of BelegOne during the term of the contract and a subsequent limited processing, export and deletion phase.

Type and purpose of processing

Storage, structuring, display, modification, calculation, document creation, PDF generation, import of external PDF documents, PDF text extraction, OCR, automated document recognition, export, data backup, recovery and customer-triggered email sending.

Data types and data subjects

In particular, master, contact, address, contract, receipt, position, payment reference, tax, bank, communication, file, signature and protocol data of customers, interested parties, employees, suppliers, contact persons and document recipients of the customer.

Responsibilities of Neumann IT Solutions

• Processing only to fulfill the contract and according to documented instructions from the customer
• Obligation of authorized access persons to maintain confidentiality
• appropriate technical and organizational security measures
• Supporting the customer with information, correction, deletion and security incidents, as far as this is possible within the framework of BelegOne
• Informing the customer of relevant data security breaches without undue delay
• Return or deletion of customer data after the end of the contract, provided there are no legal obligations to the contrary

Subcontractor

Customer grants general authorization to use necessary sub-processors for hosting, infrastructure, email, data backup and payment. Neumann IT Solutions informs about significant changes. The customer can object for justified data protection reasons. If no reasonable alternative is possible, the affected service or contract may be terminated.

15. Privacy and Security

The processing of personal data is governed by the BelegOne Privacy Policy. The customer remains responsible for the lawful use of BelegOne and the data entered into it.

Neumann IT Solutions uses appropriate technical and organizational measures. However, absolute protection against all risks cannot be guaranteed.

16. Rights to software and content

All rights to BelegOne, the software, design, templates, trademarks and documentation remain with Neumann IT Solutions or the respective rights holders.

The customer receives a non-exclusive, non-transferable right to use BelegOne to the extent of the booked tariff for the duration of the contract.

The rights to the content entered by the customer remain with the customer or the respective rights holders. The customer grants Neumann IT Solutions the technically necessary usage rights to operate BelegOne and carry out the assigned functions.

17. Warranty and liability

Neumann IT Solutions is liable without limitation for damage caused intentionally or through gross negligence and in cases where limitation of liability is excluded by law.

In the event of slight negligence, Neumann IT Solutions is only liable for the breach of essential contractual obligations and only for the direct damage that was typically foreseeable when the contract was concluded.

To the extent permitted by law, liability for indirect or consequential damage, loss of profit or savings, third-party claims and damage resulting from incorrect customer input is excluded.

Liability for data loss is limited to the effort that would have been required for restoration if the export and backup options had been used properly.

18. Changes to prices and terms and conditions

Neumann IT Solutions may change prices and these Terms and Conditions for future billing periods. Significant changes will be announced in writing or within BelegOne in a timely manner.

Price changes apply no earlier than the first renewal following notification. If a change is materially detrimental to the customer, the customer may terminate the subscription before the change takes effect.

19. Final provisions

Swiss law applies, excluding the conflict of laws and the UN Convention on Contracts for the International Sale of Goods.

To the extent permitted by law, the place of jurisdiction is the registered office of Neumann IT Solutions. Mandatory statutory jurisdictions remain reserved.

If any provision of these Terms and Conditions is invalid or unenforceable, the remaining provisions will remain in effect. The invalid provision will be replaced by the applicable legal regulation.
