General Terms and Licence Conditions for CN1 Backup
English translation of the German original. In case of discrepancies, the German version prevails, subject to mandatory law.

1. Provider and subject matter of the contract
The provider is Neumann IT Solutions, Christian Neumann, Burghügelweg 1, 9604 Lütisburg, Switzerland. The subject of the contract is a time-limited, non-transferable right of use to CN1 Backup for the ordered edition and number of installations.
2. Scope of services
The scope of functions results from the order, edition comparison and service description. Cloud storage, system images, and bare metal restore are not included. The server edition only supports Windows Server 2019, 2022 and 2025. Linux, macOS, direct Docker backup, direct database adapters and Microsoft 365 backup are not included.
3. Customer obligations
The customer shall provide suitable hardware and backup destinations, sufficient storage, correct access rights, secure storage of data media and the emergency password, and regular recovery tests. Access credentials and licence codes must not be disclosed without authorisation. Statutory retention and data protection obligations relating to backed-up content remain the customer's responsibility.
4. Prices, term, renewal and termination
All published prices are final prices including Swiss VAT. Monthly and annual subscriptions renew automatically for the respective booked period until terminated. The subscription may be terminated at any time before the next renewal and termination takes effect at the end of the period already paid for. Amounts already paid are not refunded pro rata unless mandatory law requires otherwise.
Price changes apply no earlier than the next renewal and will be announced in text form at least 30 days in advance. The customer may terminate the subscription before renewal.
5. Payment and licence status
In the event of a payment problem, a technical grace period of 14 calendar days applies. During the grace period, existing backups and restores remain functional; new activations are blocked. After the grace period expires, new backup runs are blocked. Neumann IT Solutions does not delete existing local backup data; recovery and the emergency package remain accessible. Revocation for security reasons or misuse takes effect immediately.
6. Monitoring and support
Monitoring requires express consent and does not transmit backup content. Personal review is included only within the scope of the booked edition and during the agreed business hours. Remote support, repairs and recovery work are separate services and begin only after the customer has accepted the associated costs.
7. Updates and Changes
Security and bug fixes may be provided. Significant changes to price, scope of services or data protection will be communicated transparently before they take effect. Local backup data will not be deleted by an update without express consent.
8. Warranty and Liability
CN1 Backup reduces the risk of data loss, but cannot eliminate it. There is no blanket guarantee of complete recoverability. Mandatory legal claims as well as liability for intent, gross negligence and personal injury remain unaffected.
9. Data protection and processing on behalf of customers
The CN1 Backup Privacy Policy applies. Where Neumann IT Solutions processes personal data on behalf of a business customer, a data processing agreement will be concluded.
10. End of contract
After the end of the contract, the right to new backup runs expires in accordance with the license life cycle. The customer remains the owner of his local data storage media and backups and is responsible for their further storage or deletion.
11. Governing law and jurisdiction
Swiss law applies. Jurisdiction at the provider's registered office applies only where it is not precluded by mandatory consumer protection or jurisdiction rules.
